Overview
Welcome to Alto Money, a digital platform provided by Alto, the operating brand of Alto Foundation, a foundation company incorporated under the laws of the Cayman Islands (the "Foundation", "we", "us" or "our").
"Alto" in these Terms means the Alto protocol software, consisting of the Alto protocol technology stack, including all of its smart contracts, as well as any other Alto technology (together the “Alto Protocol Software”).
For purposes of these Terms: “user”, “you”, and “your” mean you as the person accessing or using the Alto Protocol Software. If you use the Alto Protocol Software on behalf of a company or other entity then “you” includes you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with the authority to bind the entity to these Terms, and (b) you agree to these Terms on the entity’s behalf.
For purposes of clarity: the Foundation is not a wallet provider, exchange, broker, dealer, financial institution, payments processor, money services business, or creditor. Protocol functions, including fee collection and allocation, are implemented by smart contracts and are subject to their configuration and administration arrangements. No rate of return or allocation of fees is promised or guaranteed by the Foundation.
THIS WEBSITE PROVIDES INFORMATION ABOUT THE ALTO PROTOCOL SOFTWARE. REVIEW THESE TERMS AND THE RISK DISCLOSURE BEFORE INTERACTING WITH THE SOFTWARE. ACCESS THROUGH A SEPARATELY OPERATED FRONT-END IS ALSO SUBJECT TO THAT OPERATOR'S TERMS OF USE.
1. Regulatory Compliance and Risks
You are responsible for complying with all applicable law and regulation when interacting with the Alto Protocol Software. This includes your use, transfer, ownership of DUSD token(s), ALTO Token(s), or any other digital asset or token. The laws around digital assets are rapidly evolving and you are responsible for keeping up to date and adjusting your positions accordingly in order to comply with regulatory standards.
The Alto Protocol Software could be impacted by one or more regulatory inquiries or regulatory actions, which could impede or limit your ability to access or use the Alto Protocol Software or hold, transfer or interact with DUSD or ALTO Tokens.
2. Access and Use of Alto Protocol Software at Own Risk
The Alto Protocol Software runs on the Ethereum network, and users interact with its smart contracts using their own wallets. The Foundation does not hold users' private keys or take custody of their wallets. Some contracts remain subject to the configuration, upgrade and emergency controls described below. Interacting with the Software carries risks, including partial or total loss of deposited assets.
3. Protocol Administration and Smart Contract Controls
Certain protocol contracts, including sDUSD and the ProtocolFeeCollector, are upgradeable. The Owner Safe controls upgrades, configuration and role changes through the Timelock. Separate emergency controls permit pausing or freezing relevant functions. These powers may affect deposits, withdrawals, fee allocation and other contract behavior. Protocol administration is currently performed through these arrangements, and token-holder DAO governance is not yet operative. The Software also depends on the Ethereum network's continued functioning.
4. Separate Front-End Operator
The app at app.alto.money (the "Front-End") is operated independently by Mesh Interface Corp. (Panama) under an operating agreement and a licence agreement with the Foundation. Mesh is not subject to the Foundation's control. The Foundation does not operate the Front-End. Access to and use of the Front-End are governed by the operator's separate Terms of Use and Privacy Policy. Front-End eligibility requirements and access restrictions are separate from the operation of the underlying smart contracts.
5. Alto Foundation Is Not Liable for Any Foreseeable or Unforeseeable Losses or Damages
ALTO FOUNDATION IS NOT LIABLE TO ANY USER FOR DAMAGES, INCLUDING ANY GENERAL, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE, IN CONNECTION WITH THE USE OR INABILITY TO USE THE ALTO PROTOCOL SOFTWARE.
This includes but is not limited to the loss of DUSD token, ALTO Token, or any other digital asset or token. This also includes the non-allocation of technical fees, loss of data, inaccurate data or other losses sustained by a User or third parties related to the Alto Protocol Software and/or any activity of a frontend operator or the failure of the Alto Software Protocol to operate with any other software. The existence of administrative or upgrade powers does not guarantee that any defect will be corrected, that access will be maintained or restored, or that assets will be recoverable.
The Alto Protocol Software is of experimental nature and it may contain bugs, defects, or errors which may cause you to incur losses or damages. Further, as a result of being experimental in nature, any token or digital asset staked, deposited, or similarly placed into the Alto Protocol Software is at risk of being permanently lost.
Accessing the Alto Protocol Software requires deep knowledge of smart contract technology, blockchain, and related fields. Its use without proper skills and preparation may result in unintended and irreversible consequences.
Attacks by hackers on the software and smart contracts of the Alto Protocol Software are possible and should be accepted as a significant risk before accessing the Alto Protocol Software.
No Offer and Jurisdictional Restrictions:
This website provides information about the Alto Protocol Software. Nothing on this website constitutes an offer to the public of any crypto-asset, e-money or financial instrument, investment advice, or a promise of any return. References to DUSD, sDUSD, ALTO or any other digital asset describe software functionality. Restricted features are not marketed to persons in the European Economic Area or the United Kingdom. Access to the Front-End remains subject to the operator's eligibility requirements and jurisdictional restrictions. Accessing information on this website does not establish eligibility to use those features.
Access to and use of the Front-End are not offered to persons who are located in, incorporated in, organised under the laws of or resident in mainland China. This restriction applies even if the Front-End is technically accessible from mainland China.
Staked DUSD (sDUSD) and DUSD Earn:
The Software includes features through which a user may deposit DUSD into a smart contract and receive sDUSD, a token redeemable for DUSD at the exchange rate determined by that contract from time to time, or a position in the DUSD Vault. The exchange rate and any incentive may change over time, may remain unchanged for extended periods and are not promised or guaranteed by the Foundation, the Front-End operator or any other person.
New deposits into these features are not offered to persons who are located in, incorporated in or habitually resident in the European Economic Area or the United Kingdom, in addition to the jurisdictions restricted under the Front-End Terms of Use. Existing holders in the European Economic Area may access withdrawal-only features to view their balances and withdraw or redeem existing positions, subject to contract conditions, available liquidity and applicable emergency controls. This exception does not permit new deposits or staking, and does not override site-wide restrictions, including those for the United Kingdom.
Users must confirm their eligibility when required by the operator and must not use a VPN, proxy or similar tool to circumvent access restrictions. Acceptance of terms does not make a restricted user eligible for new deposits.
6. Alto Foundation Has Deployed and Provides the Alto Protocol Software “AS IS” and on an “AS AVAILABLE” Basis
Alto Foundation provides the Alto Protocol Software "AS IS", without any warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose and non-infringement. Further, Alto Foundation provides the Alto Protocol Software on an “AS AVAILABLE” basis without any representations, promises, or guarantees whatsoever of any kind by any entity and the User shall rely on its own examination and investigation thereof.
7. Disclaimer on Risks Relating to Digital Assets
In order to access and make use of certain features of the Alto Protocol Software, a User may need to acquire digital assets or tokens. There are a number of risks associated with purchasing, owning and using digital assets or tokens. Digital assets and tokens are volatile due to many factors including but not limited to adoption, speculation, technology, and security risks. You are exclusively responsible for the use of reasonable and commonly accepted measures for securing your digital asset wallet and private keys or any other storage mechanism used to receive and hold digital assets and tokens. If your private keys or other access credentials are lost, you may lose access to your digital assets or tokens which are interacting with the Alto Protocol Software. Alto Foundation will not be able to retrieve your digital assets or tokens.
DUSD and ALTO do not represent ownership of, equity in or shares of the Foundation. Protocol features and any planned token-holder governance do not constitute a guaranteed payment from the Foundation. The value of ALTO and DUSD may experience extreme volatility or depreciate in full with no recourse to you.
8. Arbitration, Dispute Resolution and Class Action Waiver
All disputes between you and Alto Foundation must first go through a good-faith informal resolution process. If unresolved, any remaining claims will be resolved by final and binding arbitration in English under the JAMS Rules, with a sole arbitrator seated in the Cayman Islands. Arbitration will occur on an individual basis only-class, collective, or representative actions are not permitted-and batch procedures may apply for large numbers of similar claims. Certain disputes (like small individual claims, injunctive relief, or IP matters) may proceed in court. The costs of arbitration follow the JAMS Rules, with adjustments if costs would otherwise be prohibitive. By agreeing to these Terms, both you and the Organization waive the right to a jury trial or to participate in any class or representative proceeding.
9. Updates to These Terms
We may revise these Terms at any time by updating the “Last Revised” date. Material changes may be noted on the Website, but you are responsible for reviewing updates. Continued use of the Services after changes take effect constitutes your acceptance. Updates do not apply to disputes already in arbitration.
10. Suspension and Termination
We may suspend or terminate your access or licenses at any time, with or without notice, if you breach these Terms, provide false information, or engage in prohibited activities. Sections that by nature should survive termination will remain in effect. Termination does not limit our other legal rights.
11. Injunctive Relief
You agree that any breach of these Terms may cause irreparable harm, entitling us to injunctive or equitable relief without bond or proof of damages, in addition to other legal remedies.
12. Force Majeure
We are not liable for delays or failures to perform due to events beyond our control, including natural disasters, war, terrorism, labor disputes, power or Internet outages, or government actions.
13. Miscellaneous
If any provision is found invalid or unenforceable, the rest remain in effect. We may assign these Terms; you may not without our written consent. No waiver of one breach is a waiver of others. Headings are for convenience only.
14. Governing Law
These Terms and any disputes arising from them are governed by the laws of the Cayman Islands, without regard to conflict-of-law principles.
